Terms of Service
These Terms of Service ("Terms") govern your access to voicewell.ai (the "Site") and any subscription you purchase through Voicewell for the AI receptionist platform operated by AI Front Desk, Inc. (the "Platform"). By accessing the Site or purchasing a subscription, you agree to these Terms. If you do not agree, do not use the Site or the Platform.
#1. Who you are contracting with; reseller status
You are contracting with VOICEWELL LLC ("Voicewell," "we," "us," or "our"), a Texas limited liability company, 3515 Maymist Drive, Katy, TX 77449, United States. Voicewell is an authorized reseller of the Platform. Voicewell does not own, operate, host, or control the Platform. The Platform is owned and operated by AI Front Desk, Inc., a Delaware corporation ("Platform Provider").
#2. Acceptance of the Platform Provider's terms
Use of the Platform requires you to also accept the Platform Provider's Terms and Conditions at https://www.myaifrontdesk.com/terms-of-service and its Privacy Policy at https://www.myaifrontdesk.com/privacy-policy. By accepting these Voicewell Terms, you separately accept the Platform Provider's terms and privacy policy. If there is any conflict between these Terms and the Platform Provider's terms with respect to use of the Platform itself, the Platform Provider's terms govern your use of the Platform.
#3. Eligibility and accounts
You must be at least 18 years old and authorized to bind your business to these Terms. You are responsible for the confidentiality of your account credentials and for all activity under your account, including activity on the Platform.
#4. Free trial, subscription, and billing
Voicewell offers a free trial of the Platform for a limited period (currently 7 days), with feature and usage limits described on the pricing page. After the trial, your subscription becomes payable on a monthly basis at the rate set out on the pricing page; usage above the included voice minutes and SMS allowances is billed at the overage rates published on the pricing page. Fees are billed monthly in advance and are non-refundable except as required by law or as we expressly agree in writing. You may cancel at any time through your account or by contacting support@voicewell.ai; cancellation takes effect at the end of the current billing period.
#5. Refunds
Subscriptions are digital and non-refundable except as required by law or as we expressly agree in writing on a case-by-case basis.
#6. Service availability; no SLA from Voicewell
The Platform is operated by the Platform Provider. Voicewell does not control and does not guarantee uptime, latency, call quality, AI accuracy, data retention, security, recording quality, or any other operational aspect of the Platform. Any service-level commitments, uptime targets, retention windows, security practices, or compliance certifications are governed solely by the Platform Provider's documentation, not by these Terms.
#7. Acceptable use
You agree not to use the Site or the Platform to: (a) violate any law, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state telemarketing rules, do-not-call rules, HIPAA, GLBA, or any state recording-consent law; (b) initiate calls to numbers on any Do Not Call registry without prior express consent or a documented established business relationship; (c) impersonate any person or entity; (d) infringe intellectual property or privacy rights; (e) introduce malicious code or attempt unauthorized access; or (f) engage in any use prohibited under the Platform Provider's Terms and Conditions, all of which apply to you.
#8. Compliance is solely your responsibility
You are solely responsible for ensuring that your use of the Platform — including all inbound and outbound calls, recordings, SMS messages, contact list sourcing, consent collection, and caller-ID handling — complies with all applicable federal, state, and local laws. Voicewell does not provide legal advice, does not review your scripts or call lists, and does not monitor your calls for compliance.
#9. Call recording
Call recording laws vary by state. You are solely responsible for ensuring your use of the recording functionality complies with the recording-consent laws of every jurisdiction your callers may be in, including configuring greetings, disclosures, and consent prompts as required. Voicewell makes no representation that any default Platform configuration is sufficient for your use case.
#10. Regulated industries
The Platform is not provided to you as a HIPAA-eligible service through Voicewell, and Voicewell does not sign Business Associate Agreements. If you operate a HIPAA-covered entity, a financial institution subject to GLBA, a law firm with privileged client intake, or any other regulated business, do not use the Platform to transmit, store, or process regulated data until you have separately confirmed an appropriate compliance configuration directly with the Platform Provider.
#11. Customer content and call data
You retain ownership of the information you submit through the Platform. All call recordings, transcripts, caller data, CRM contacts, and other Platform content are stored and processed by the Platform Provider under its Terms and Privacy Policy. Voicewell does not store, process, or have routine access to that data. Any requests to retrieve, export, or delete Platform content should be directed to the Platform Provider.
#12. Third-party integrations
The Platform integrates with third-party tools (calendars, CRMs, telephony providers, automation platforms). Your use of those tools is governed by their own terms, and Voicewell is not responsible for their availability, accuracy, or actions.
#13. Intellectual property
The Platform, its underlying software, and the Platform Provider's brand are owned by the Platform Provider. The Voicewell brand, voicewell.ai website, and any marketing materials Voicewell creates are owned by Voicewell. Nothing in these Terms transfers ownership of any intellectual property to you.
#14. Disclaimer of warranties
THE SITE AND THE PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEWELL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VOICEWELL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE. VOICEWELL DOES NOT WARRANT THAT THE AI RECEPTIONIST WILL CORRECTLY HANDLE ANY GIVEN CALL OR THAT ITS RESPONSES WILL BE FREE OF ERROR.
#15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL VOICEWELL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) VOICEWELL'S AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO VOICEWELL IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100). THIS CAP APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTORY DUTY, OR OTHERWISE).
#16. Indemnification
You will defend, indemnify, and hold harmless Voicewell, its members, officers, employees, and agents from any third-party claim arising out of: (a) your content; (b) your use of the Site or the Platform; (c) your violation of these Terms, the Platform Provider's terms, or any law (including TCPA, CAN-SPAM, recording-consent statutes, or do-not-call requirements); or (d) your transmission of regulated data outside of a compliant configuration documented in writing with the Platform Provider.
#17. AI-generated content disclaimer
The Platform uses artificial intelligence to handle calls, generate responses, and produce transcripts. AI-generated output may be inaccurate, incomplete, or unsuitable for any particular purpose. You assume all risk arising from decisions or actions you take based on AI-generated content. Voicewell is not liable for any consequence of any statement, action, omission, or recording produced by the AI receptionist.
#18. Termination
Either party may terminate for material breach if the breach is not cured within 30 days of written notice. Voicewell may suspend or terminate your access immediately if your use threatens the security or stability of the Platform, violates these Terms or the Platform Provider's terms, or exposes Voicewell to legal risk. Upon termination, your right to use the Site and the Platform ends.
#19. Governing law and dispute resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in Harris County, Texas, and the parties consent to personal jurisdiction there. The parties waive any right to a jury trial.
#20. Changes
Voicewell may update these Terms from time to time. Material changes will be posted on the Site with an updated "Last updated" date and sent by email to active subscribers. Continued use after changes take effect constitutes acceptance.
